Intellectual Property

Client-Owned IP

Upon full payment, clients retain ownership of custom-developed software and applications, excluding our proprietary frameworks, tools, and methodologies.

NaviByte-Owned IP

• Proprietary development frameworks and tools
• Pre-existing code libraries and components
• Development methodologies and processes
• Company branding, logos, and marketing materials

Warranties & Disclaimers

Limitations

• Services are provided "as is" without additional warranties
• We do not guarantee specific business outcomes or results
• Third-party integrations may have separate terms and limitations
• Performance may vary based on client infrastructure and usage

Limitation of Liability

Our liability is limited to the total amount paid for the specific service that gave rise to the claim. We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages caused by third-party services or integrations
• Issues arising from client modifications to our work
• Force majeure events beyond our reasonable control

Termination

Termination by Client

Clients may terminate services with 30 days written notice. Payment is due for all work completed up to the termination date, plus any non-refundable expenses incurred.

Termination by NaviByte

We may terminate services immediately for non-payment, breach of terms, or if continuation would violate applicable laws or regulations.

Governing Law

These terms are governed by the laws of India. Any disputes will be resolved through:

• Good faith negotiation as the first step
• Mediation through a mutually agreed mediator
• Arbitration under Indian Arbitration and Conciliation Act
• Courts in Pune, Maharashtra for any legal proceedings
